The US SEC proposes a groundbreaking framework for crypto regulation

According to CoinMeta, the U.S. Securities and Exchange Commission (SEC) has proposed a new regulatory framework for crypto assets aimed at reshaping the financing methods of digital asset projects in the United States. The proposal, known as "Crypto Asset Regulation," establishes a tailored securities regime for certain investment contracts with the goal of reducing regulatory barriers while maintaining investor protection. The proposal includes two new exemptions from securities registration: one allows issuers to raise up to $5 million over a four-year period, and another allows them to raise $75 million within any 12-month period. Issuers utilizing these exemptions are still required to comply with disclosure requirements. The SEC also proposes a conditional safe harbor that may allow certain crypto assets to no longer be considered "investment contracts." In addition, the proposal will pre-exclude certain state securities registration requirements for issuances conducted under Crypto Asset Regulation. SEC Chair Paul Atkins stated that the proposal is intended to provide crypto entrepreneurs with a clearer financing path and encourage innovation to remain in the United States. The proposal is now in a 60-day public comment period and remains in a propositional state, and may undergo changes before any final action is taken.
