After the latest round of financing by Z.ai was finalized, the market reaction was cautious. The company disclosed that in addition to the already completed $5 billion in financing, they also plan to issue 20.14 billion yuan in zero-coupon convertible bonds due in 2027. Following the announcement of this news, the stock price of Z.ai fell by more than 10% at one point.

Intends to issue 20.14 billion yuan of zero-coupon convertible bonds

The company disclosed that the initial conversion price of these convertible bonds is HK$892.50 per share, which represents a premium of 12.5% over the closing price last Friday. According to the disclosure, these bonds will mature in 2027 and do not carry any interest payments.

Convertible bonds are generally regarded as a tool that balances financing costs with the potential for subsequent equity conversion. However, in the short term, the market often focuses on the potential dilution effect and the efficiency of the company's subsequent use of funds, which may also put pressure on the stock price.

Lending funds to the next generation of AI models

The company stated that the funds raised in this round will be used for the development of the next generation of the AI model, covering research and development, training, and inference infrastructure, as well as subsequent commercialization efforts.

  • Next-generation AI model development
  • Training and inference infrastructure construction
  • AI Product commercialization advancement

Second major financing within two months

This is Z.ai's second major financing in two months. Continuous financing usually indicates that a company is accelerating its investment pace, especially during stages such as model development, computing power procurement, and product implementation, which require a higher amount of capital.

However, the secondary market is more concerned with the subsequent return rhythm. For high-investment AI companies, although an expansion of financing scale can help enhance R&D and infrastructure capabilities, it also intensifies the market's scrutiny of profit paths and capital expenditures.

Additional information:CNBC reports that the scale of this convertible bond issue is approximately $3 billion. Together with the previously completed $5 billion in financing, Z.ai's total fundraising amount has recently reached around $8 billion.
