Two DMS providers, which are based on common and customer-centric values, have come together with the aim of accelerating innovation in the truck and equipment distribution market.
San Diego, October 22nd / PRNewswire / -- Procede Software, a leading provider of enterprise-level dealer management systems ( DMS ) and solutions for the commercial vehicle industry, announced today that it has acquired RIMSS ( Responsive Information Management Systems and Services , Inc ). The latter is a DMS provider based in San Antonio that serves dealers in agriculture, construction, and transportation industries.
RIMSS was established in 1983 and provides support for over 200 distributor groups in North America. It also collaborates with original equipment manufacturers such as Kubota, Case IH, AGCO, and Hino. On its 25th anniversary, Procede utilizes its Excede ® platform to serve more than 1,200 stores and 25,000 active users daily in the truck, trailer, bus, and after-sales market industries.
Procede Software CEO and Chairman Larry Kettler stated: "Respect is earned over decades by those who truly care about customers, products, and each other. RIMSS has earned this respect. Tommy, Dale and their teams share the same values as us, the same commitment to distributors and OEM, as well as the belief that 'people make the difference.' This acquisition is built on this foundation, creating more opportunities for our customers, employees, and the industries we serve. I am excited about the results we will achieve together."
The two companies were established in the same way.
Both companies provide comprehensive distributor management platforms built on Microsoft technology, featuring industry-leading OEM integration and services. Both are established around the commitment to putting employees first and have gained long-term customer loyalty. Similar to Procede, RIMSS also has a customer retention rate of about 99%.
RIMSS CEO Tommy Jarrett stated: "More than 40 years later, what we are looking for is not someone to take over everything we have built. What we seek is a partner who is willing to invest in our employees and products, while at the same time maintaining the core values that our customers rely on." Procede The way they develop their business is the same as ours: always staying close to our dealers and reinvesting funds in our products year after year.
Created for distributor groups that operate both types of businesses simultaneously
Many dealer groups that operate truck businesses under the name Excede have expanded into the agriculture and construction sectors. RIMSS has over 40 years of experience in these markets, as well as strong relationships and industry knowledge. Procede possesses engineering capabilities, market expansion experience, and advanced AI capabilities provided through Procede Intelligence. After the merger of these two companies, they will be able to support truck dealers, equipment dealers, and dealer groups that operate both types of businesses. They can bring decades of experience to sales, service, and support for equipment, ensuring the continued operation of these industries.
This acquisition follows closely on the issuance of Rub tokens and Technology Partners's investment in Procede in January 2026. Kettler stated: "When we invested in Rub tokens earlier this year, Procede committed to continuing to invest funds in employees, technology, and the industry. We have lived up to that commitment. This year, we have progressed at an unprecedented pace, recruited outstanding new talent, and accelerated innovation across our entire product portfolio. RIMSS is the next step in this journey, and we are delighted to continue moving forward based on our shared core values, while bringing industry-leading software and services to even more distributors."
What remains unchanged
Both the Excede and RIMSS platforms will continue to receive support and development. RIMSS customers will continue to use the existing software, contracts, and support relationships. The team based in San Antonio will also continue to provide services for them. OEM and its partners will continue to work with the same group of people they have been collaborating with before, but now they have more resources at their disposal in order to scale up and drive innovation over the coming decades.
The financial terms of this transaction have not been disclosed.
