BioLife is a leading company in the cell and gene therapy market, developing and supplying cell processing tools and services.

As a merged commercial team, BioLife will benefit from Repligen's broader global coverage, especially in the Asia-Pacific region; whereas Repligen will benefit from BioLife's reliable customer relationships.
In relation to this transaction, BioLife shareholders will receive $11.25 in cash per share, as well as 0.1442 shares of Repligen common stock. Any fractional shares of Repligen common stock will be replaced by cash.
