OpenAgent is the registered transfer agent for this company with the U.S. Securities and Exchange Commission (SEC). The system records holdings and transfers on the blockchain, while investor data is stored in a private system, allowing issuers to access an ever-changing list of shareholders.
Pittsburgh, Pennsylvania, October 29, 2026 / PRNewswire / — As SEC considers rewriting the rules for transfer agents for the first time in over forty years, digital asset infrastructure provider OpenAssets stated that its affiliated SEC registered transfer agent OpenAgent is already operating in accordance with the proposed rules, which will allow for a bookkeeping model where shareholder records are stored on-chain, while investors' identities are kept offline.
OpenAgent records holding and transaction data on the blockchain as part of the register, including wallet addresses, quantities, as well as each铸造, destruction, or transfer. Personal data is retained in a private system, and the two are linked through the mapping relationship between wallets and customers. For issuers, this means that the shareholder register is designed to be directly readable when changes occur, rather than receiving a completed document afterwards.
The draft rule proposed by SEC on September 1st will allow registration and transfer agents to use distributed ledgers to store all or part of the records of their principal securities holders, which are the official shareholder records. Personal data will be retained in a private system, while holding data—including the number of shares held and wallet addresses—will be stored on the blockchain.
The structure of tokenized stocks is of paramount importance.
A token that is recorded on the company’s own shareholder register and approved by the company, and a token that is issued by an unrelated third party and is used only to track the price of a particular stock, are two different types of instruments. The proposed Form TA -2 report by SEC will categorize these two types as “issuer-backed” and “third-party-backed” respectively. This distinction has now also extended to the trading level: according to the “Innovation Exemption” issued by SEC on September 17th, tokenized stocks traded on eligible exchanges must grant holders the same rights as the corresponding underlying stocks.
OpenAssets Chairman and CEO Gabor Gurbacs stated: "The quality of a tokenized stock depends on the registry behind it. SEC It is correct to allow for formal recording on the blockchain, and the market should also require this record to be held to the same standards as any shareholder registry. OpenAgent This has already been in operation in this way: every transfer is recorded as it occurs, while the investors' identity information remains private. Choosing a transfer agent now means choosing which record the market will trust."
OpenAssets indicates that OpenAgent is designed for tokenized securities issuers, as well as the exchanges and legal counsel that collaborate with them. SEC will accept comments on this proposal until November 3rd.
